These Terms of Service ("Terms") govern your access to and use of Ascent Terminal (the "Service"), operated from England and Wales ("Ascent Terminal", "we", "us"). The Risk Disclaimer and Privacy Policy are incorporated into these Terms by reference.
Acceptance. You accept these Terms by doing any of the following: ticking the acceptance box when unlocking the terminal; completing a purchase (including via the consent presented at checkout); or otherwise accessing or using the Service. Each version of these Terms is identified by the version date above; we keep a record of acceptance for evidential purposes.
If you do not agree to these Terms, do not use the Service.
1. The Service
Ascent Terminal provides charting tools, market analysis tools, alerts, trend signals, software applications, bots, AI-assisted features, and related educational content.
The Service is provided for informational and educational purposes only. Ascent Terminal does not provide financial advice, investment advice, portfolio management services, brokerage services, or fiduciary services.
Unless explicitly stated otherwise, Ascent Terminal does not:
- Hold customer funds;
- Store customer exchange credentials at rest on our servers;
- Manage customer investment accounts;
- Decide what, when, or whether you trade.
User-directed automation. Some optional features (automated bots and server-watched protective exits) run on Ascent Terminal servers and can place orders on your exchange account, but only: (a) when you explicitly configure and arm them; (b) using API credentials that you supply and can revoke at any time; and (c) subject to safety limits you and the server operator control. You are the sole decision-maker: these features execute your instructions. They depend on server availability and exchange connectivity — automation may fail to act (including failing to exit a position) due to outages, errors, API restrictions, or market conditions, and you accept that risk.
Users remain solely responsible for their own trading and investment decisions.
2. Eligibility
You must:
- Be at least 18 years old;
- Have the legal capacity to enter into binding agreements in your jurisdiction;
- Comply with all applicable laws and regulations, including financial-sanctions and export-control laws — you may not use the Service if you are located in, or ordinarily resident in, a jurisdiction subject to comprehensive sanctions, or are a sanctioned or restricted person.
You may not use the Service where prohibited by law.
3. Subscriptions and Payments
Access to the Service is provided through paid subscriptions. Pricing, features, and subscription tiers are displayed at the point of purchase.
By subscribing, you agree that:
- Your subscription grants access only during the active subscription period;
- Access may be suspended or terminated when payment fails, expires, is refunded, or is disputed;
- Subscription fees are charged either (a) directly on our website via our payment processor (Stripe), or (b) through third-party platforms (e.g. Whop / Patreon), whose own terms also apply to those purchases;
- Auto-renewal: subscriptions renew automatically each billing period until cancelled. You can cancel at any time via the store you purchased from (or, for direct purchases, via the Stripe customer portal or by contacting support); cancellation stops future charges and your access key is revoked at the end of the paid period (or immediately upon refund/chargeback);
- Key delivery: access is provided via a personal access key delivered to the email address used at checkout. We store only a cryptographic hash of your key; keep the delivered key safe. Lost keys are replaced on request;
- Add-ons (e.g. additional bot instances or AI allowance) are recurring charges attached to a specific access key and end when cancelled;
- Sharing, reselling, or publishing an access key is prohibited and grounds for revocation without refund.
4. Access Keys and Accounts
Access credentials and licence keys are personal and may not be shared.
You may not:
- Share access credentials with any other person;
- Sell or transfer your account;
- Permit others to access the Service through your account;
- Circumvent licensing restrictions.
You are responsible for maintaining the confidentiality of your account information. Violation terminates your licence immediately without refund.
5. Licence Grant
Subject to compliance with these Terms, Ascent Terminal grants you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service. No ownership rights are transferred.
6. Prohibited Conduct
You may not:
- Reverse engineer, decompile, or disassemble the software;
- Redistribute paid software or premium content;
- Remove copyright or proprietary notices;
- Attempt unauthorised access to any system or account;
- Use the Service for unlawful activities;
- Interfere with the operation of the Service;
- Circumvent subscription or licensing systems.
Violation may result in immediate termination without refund.
7. Intellectual Property
All rights, title, and interest in the Service remain the exclusive property of Ascent Terminal. This includes software, indicators, signals, bots, documentation, branding, graphics, educational materials, and website content.
No rights are granted except those expressly stated in these Terms.
8. Third-Party Services
The Service may interact with third-party exchanges, brokers, APIs, platforms, or data providers. Ascent Terminal is not responsible for exchange outages, broker actions, API failures, data inaccuracies, liquidations, trading fees, or third-party security breaches.
Users assume all risks associated with third-party services. Trade-only API keys with withdrawal permissions disabled are strongly recommended.
9. Software Availability
The Service is provided on an "as is" and "as available" basis. We do not guarantee continuous uptime, error-free operation, accuracy of signals or market data, or the availability of any feature. Features, tools, algorithms, bots, signals, or software may be modified, suspended, or discontinued at any time.
10. AI-Assisted Features
Parts of the Service use artificial-intelligence models to generate market commentary and explanations. AI output is generated automatically, may be incomplete, outdated, or simply wrong, and must never be relied upon as fact or as a recommendation. AI features are subject to usage allowances that vary by subscription tier and may be changed, rate-limited, or withdrawn at any time.
11. Experimental and Research Features
Certain tools (including the configurable indicator engine, backtesting laboratory, and related bots) are research instruments. Configurations you build have no validated performance record unless and until you establish one yourself; backtest results are hypothetical and inherently subject to overfitting and survivorship effects. You use experimental features entirely at your own risk.
12. Feedback
If you send us ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, royalty-free licence to use them without restriction or compensation. Do not send us confidential information.
13. No Financial Advice
Nothing provided through the Service constitutes financial advice, investment advice, tax advice, legal advice, or trading recommendations. You remain solely responsible for evaluating any information and making your own decisions.
14. Refunds and Your Right to Cancel
Digital service supplied immediately. Your access key is delivered and usable the moment payment completes. For purchases made directly on our website, by completing checkout you expressly request immediate supply of the digital service and acknowledge that, once supply has begun, you lose the statutory 14-day right to cancel under the Consumer Contracts Regulations 2013 (and equivalent EU rules), to the extent permitted by law.
Subject to the above and to any rights that cannot be excluded by law:
- Subscription payments are otherwise non-refundable;
- Partial subscription periods are not refunded;
- Cancelling stops future renewals; access continues to the end of the period already paid;
- Chargebacks or payment disputes may result in immediate key revocation and account termination.
Purchases made through third-party platforms (Whop, Patreon) are governed by those platforms' refund policies in addition to this section. Nothing in this section limits your non-excludable statutory rights, including rights relating to services not supplied with reasonable care and skill.
15. Limitation of Liability
To the maximum extent permitted by law, Ascent Terminal and its owners, employees, contractors, affiliates, and partners shall not be liable for trading losses, lost profits, lost opportunities, data loss, business interruption, indirect, consequential, special, or incidental damages.
Subject to the paragraph below, our total aggregate liability for all claims shall not exceed the amount paid by you for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. If you are a consumer, nothing in these Terms affects your non-excludable statutory rights, including the right to receive services performed with reasonable care and skill.
16. Indemnification
You agree to indemnify and hold harmless Ascent Terminal and its affiliates from claims, damages, liabilities, losses, expenses, and legal fees arising from your use of the Service, your trading activity, your violation of these Terms, or your violation of applicable laws.
17. Termination
We may suspend or terminate access immediately if you violate these Terms, share access credentials, fraudulent activity is suspected, a chargeback is initiated, or continued access may harm the Service or its users. Upon termination, your licence ends immediately.
18. Changes to Terms
We may update these Terms periodically. Material changes may be communicated through website notices, email, application notifications, or subscription platforms. Continued use after changes become effective constitutes acceptance.
19. General Provisions
- Entire agreement. These Terms (with the documents incorporated by reference) are the entire agreement between you and us regarding the Service and supersede all prior understandings.
- Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will continue in full force.
- No waiver. A failure to enforce any provision is not a waiver of it.
- Assignment. You may not assign or transfer these Terms; we may assign them in connection with a reorganisation, merger, or sale of the business.
- Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control (including outages of exchanges, data providers, networks, or hosting, and acts of government).
- Third-party rights. A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce them.
- Notices. We may give notice via the website, the application, email, or the platform you purchased through; you may give notice by email to the address below.
20. Governing Law
These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, except that consumers resident elsewhere retain any right to bring proceedings in their home courts where that right cannot be excluded.
